B2B Terms of Business

These terms describe the general process for business inquiries submitted through CantonBag. Each accepted order is governed by its final quotation, approved specification, proforma invoice, draft order and any separately signed agreement. Where documents conflict, the later expressly agreed document controls.

Quotations and order acceptance

Website information is indicative and is not a binding offer. MOQ, price, lead time, capacity, materials and shipping are confirmed in writing. An order is accepted only after required approvals and payment terms are met.

Samples and specifications

The buyer is responsible for reviewing samples, dimensions, colors, materials, logos and packaging. Production follows the approved sample and written tolerance or specification. Natural leather may show variation in grain, tone and markings.

Payment

Payment terms are stated in the quotation or invoice. Bank-transfer instructions must be verified against the official invoice and a known CantonBag contact before payment. Banking fees are handled as stated in the quotation.

Lead time and delivery

Lead time begins only after required payment, final approvals and material availability are confirmed. Shipping dates may change due to buyer revisions, supplier delays, inspections, carriers, customs or events outside reasonable control.

Buyer intellectual property

The buyer confirms it has the right to use all supplied logos, artwork, designs and instructions. CantonBag may refuse work that may infringe third-party rights.

Quality claims

Claims must follow the Quality Claim Policy and the inspection terms stated in the order documents. Normal leather variation, approved tolerances and damage after risk transfer are not manufacturing defects.

Liability

Any remedy or liability limit must be determined by the final order agreement and applicable law. No website statement creates a consumer warranty for a B2B order.
